Terms of Service

These Terms of Service ("Terms") govern your use of Jump EHR, an electronic health record and clinical workflow system provided by The Lathbury Group Ltd trading as Jump EHR (also referred to as "Use Jump") ("Jump", "we", "us", or "our"), a company registered in England and Wales with company number 15291957 and registered office at:

By accessing or using Jump EHR, you ("Customer", "you", or "your") agree to be bound by these Terms. If you do not agree, you must not use Jump EHR.
1. Definitions
Affiliate means any entity that directly or indirectly Controls, is Controlled by, or is under common Control with you.
Authorised Users means your employees, contractors, and individuals authorised by you to use Jump EHR.
Availability means Jump EHR is accessible and core functionality is operational, measured 24 hours a day, 7 days a week.
Break Point means a date specified in your Order at which either party may terminate early.
Business Day means a day other than Saturday, Sunday or public holiday in England.
Clinical Data means patient records, notes, diagnoses, prescriptions, test results and other health-related information processed in Jump EHR.
Control means ownership of more than 50 percent of issued share capital or legal power to direct management.
Customer Data means all data you or your Authorised Users submit into Jump EHR, excluding Derived Data.
Derived Data means anonymised, statistical or aggregated data derived from system use, excluding Personal Data.
Documentation means user guides, FAQs and technical materials relating to Jump EHR.
Effective Date means the date your subscription begins.
Initial Term means the first subscription period, default 12 months.
Insolvency Event includes inability to pay debts, administration, liquidation or similar events.
Integrated Services means third-party services you connect, including Microsoft, Google, Stripe, Xero and others.
Intellectual Property Rights includes patents, copyright, trade marks and related rights.
Normal Business Hours means 09:00 to 18:00 UK time on Business Days.
Order means your subscription agreement.
Renewal Term means each successive subscription period after the Initial Term.
Subscription Period means the Initial Term and any Renewal Terms.
Territory means the United Kingdom unless agreed otherwise.
2. Service Description
Jump EHR provides:
- Patient record management
- Clinical documentation
- Appointment scheduling
- Task and workflow management
- Clinical coding
- Document storage
- Prescription recording
- Messaging and notifications
- Optional AI-supported functionality
- Integration capabilities
You acknowledge that Jump EHR will evolve and features may be added, modified or removed. We do not warrant uninterrupted or error-free operation.
You are responsible for internet connectivity and compatible systems.
3. Account Registration and Access
You must complete onboarding, provide accurate information, and be authorised to bind your organisation. You must be a registered UK healthcare provider and maintain appropriate professional registration and indemnity insurance.
You are responsible for:
- Account security
- Activities of Authorised Users
- Revoking access when needed
- Ensuring appropriate training
4. Fees and Payment
Fees are payable in advance and non-refundable except where stated.
Payments may be via Stripe or invoice. Late payment may lead to suspension. Interest may apply at 4 percent above Bank of England base rate.
All fees exclude VAT and applicable taxes.
Annual increases may follow CPI plus 3.5 percent.

Uptime is calculated as:
((Total Minutes in Month − Downtime Minutes) ÷ Total Minutes) × 100
Exclusions
Scheduled maintenance, emergency maintenance, third-party outages, customer-caused issues, internet failures, force majeure, abuse, and beta features.
Service Credits

Credits are the sole remedy for availability issues.
Support Response Targets

Backup and Recovery
- Daily backups
- 30 day retention
- RPO 24 hours

- Quarterly restore testing
5. Customer Data
You own Customer Data. We may use anonymised Derived Data to improve services.
On termination you have 90 days to request export.
6. Data Processing and Security
You are the data controller. We are the processor.
Data is stored primarily in the UK/EU. AI services process data in EU regions.
We implement security measures including:
- Encryption in transit and at rest
- Role-based access controls
- System monitoring
- Regular security testing
- Business continuity planning
- Alignment with recognised industry information security practices
You remain responsible for lawful processing and UK GDPR compliance.
7. Clinical Safety and Professional Responsibilities
Jump EHR supports clinical record keeping and workflow management. It does not replace professional judgement.
- You remain solely responsible for all clinical decisions and patient care.
- AI-generated content must always be reviewed.
- Jump EHR is not designed for emergency use.
- You must report clinical safety incidents and cooperate with investigations conducted under our internal clinical risk management procedures.
8. Acceptable Use
Permitted only for lawful healthcare operations.
You must not:
- Misuse the service
- Share access credentials
- Reverse engineer the platform
- Interfere with systems
- Build competing products
9. Customer Obligations
You must cooperate, ensure Authorised User compliance, and maintain suitable infrastructure.
10. Intellectual Property
Jump retains all IP in the platform and improvements. You retain Customer Data rights. Feedback may be used without obligation.
11. Third-Party Services
You are responsible for third-party agreements. Jump is not responsible for third-party performance, availability or security.
12. Monitoring and Analytics
We monitor system performance and errors to maintain reliability.
13. Data Retention
90 days export period post-termination. We may retain anonymised data and audit logs where required.
14. Warranties and Disclaimers
We provide the service with reasonable skill and care and comply with applicable law. Otherwise provided as-is.
15. Limitation of Liability
- We are not responsible for clinical outcomes.
- Excluded losses include indirect, consequential, profit or goodwill loss.
- Liability cap equals fees paid in the previous 12 months.
- Nothing excludes liability for death, personal injury, fraud, or non-excludable law.
16. Indemnification
You indemnify Jump for claims arising from misuse, clinical decisions, or legal breaches.
17. Term and Termination
Agreement runs for Initial Term and renews automatically. Suspension may occur for breach, non-payment, security risk or legal requirement.
18. Regulatory Compliance
Both parties must comply with applicable healthcare regulation, UK data protection law and professional standards.
19. Clinical Safety Incident Reporting
You must report incidents and near misses. We investigate under internal clinical safety processes.
20. Confidential Information
Both parties must protect confidential information.
21. Independent Contractor
No partnership or agency relationship.
22. Changes
We may update Terms or services with notice.
23. General Provisions
Includes assignment, waiver, severability, force majeure, and notices.
